Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the TurbineHub platform, website, data products, and related services (collectively, the "Platform") operated by ResourceProfit, LLC d/b/a TurbineHub ("TurbineHub," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not access or use the Platform.

2. Definitions

"User" means any individual or entity that accesses or uses the Platform, including free and paid subscribers.

"Subscription" means a paid license to access specific Platform products, as defined in the applicable order form or agreement.

"Platform Data" means all data, analytics, models, reports, and other content made available through the Platform, including data derived from public regulatory sources.

"User Data" means any data, files, or content that a User uploads, submits, or creates within the Platform.

3. Platform Access & Accounts

To access the Platform, you may be required to create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify TurbineHub immediately of any unauthorized use of your account. TurbineHub reserves the right to suspend or terminate accounts that violate these Terms or pose a security risk.

Access to the Platform may be limited by subscription tier, geographic coverage, or product selection as described in your applicable order form or agreement.

4. Permitted Use

Subject to these Terms and your applicable Subscription, you may access and use the Platform for your internal business purposes, including:

  • Evaluating, analyzing, and modeling energy assets and markets

  • Conducting financial analysis, site screening, and due diligence

  • Generating reports and exports for internal decision-making, investment committee presentations, and lender packages

  • Accessing and querying Platform Data within the scope of your Subscription

5. Restrictions

You agree not to:

  • Resell, redistribute, sublicense, or make Platform Data available to third parties except as expressly permitted under your Subscription or a separate written agreement

  • Use the Platform to build a competing product or service

  • Scrape, crawl, or systematically extract data from the Platform through automated means beyond authorized API access

  • Reverse engineer, decompile, or disassemble any part of the Platform

  • Circumvent or disable any access controls, security features, or usage limits

  • Use the Platform for any unlawful purpose or in violation of applicable laws and regulations

  • Share account credentials with unauthorized individuals or exceed the number of authorized seats under your Subscription

6. Data & Content

Platform Data

Platform Data is derived from publicly available regulatory and market sources including, but not limited to, FERC, EIA, ISO/RTOs, state PUCs, and other government agencies. TurbineHub structures, cleans, cross-references, and annotates this data but does not claim ownership of underlying public source data.

TurbineHub's proprietary value lies in the structuring, analysis, composition, and presentation of Platform Data. The structured datasets, analytics, models, indices, and derivative works created by TurbineHub are proprietary and protected under these Terms.

User Data

You retain ownership of your User Data. By uploading or submitting User Data to the Platform, you grant TurbineHub a limited, non-exclusive license to store, process, and display your User Data solely to provide the Platform services to you.

TurbineHub will not sell, share, or distribute your User Data to third parties. User Data is logically isolated and not accessible by other Platform users.

Data Accuracy

While TurbineHub endeavors to ensure the accuracy and timeliness of Platform Data, we do not guarantee that all data is complete, current, or error-free. Platform Data is provided for informational and analytical purposes and should not be the sole basis for investment, development, or regulatory decisions. Users are responsible for independently verifying data used in material business decisions.

7. Intellectual Property

The Platform, including its software, design, data structures, models, algorithms, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of ResourceProfit, LLC. These Terms do not grant you any ownership interest in the Platform.

Your Subscription grants a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms and your applicable order form.

The TurbineHub name, logo, and associated branding are trademarks of ResourceProfit, LLC. You may not use these marks without prior written consent.

8. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information received from the other party in connection with the Platform ("Confidential Information"). Confidential Information includes, but is not limited to, pricing, business strategies, proprietary data, technical specifications, and client lists.

Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

Obligations under this section survive termination of these Terms for a period of two (2) years.

9. Fees & Payment

Access to certain Platform products requires a paid Subscription. Fees, payment terms, and billing frequency are as set forth in your applicable order form or agreement.

All fees are non-refundable except as expressly stated in your order form. TurbineHub reserves the right to suspend access for overdue accounts after reasonable notice.

TurbineHub may adjust pricing for renewal terms with at least thirty (30) days' written notice prior to the start of a renewal period.

10. Term & Termination

These Terms are effective upon your first access to the Platform and remain in effect until terminated.

Either party may terminate a Subscription as specified in the applicable order form. TurbineHub may terminate or suspend your access immediately if you breach these Terms.

Upon termination, your right to access the Platform ceases immediately. TurbineHub will make reasonable efforts to allow you to export your User Data for a period of thirty (30) days following termination, after which User Data may be deleted.

11. Disclaimers

THE PLATFORM AND ALL PLATFORM DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

TurbineHub does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. TurbineHub does not provide investment advice, legal advice, or engineering recommendations. Platform Data and analytics are informational tools and do not constitute a recommendation to buy, sell, develop, or hold any energy asset or security.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURBINEHUB'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TURBINEHUB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL TURBINEHUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

This limitation applies regardless of whether TurbineHub has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless ResourceProfit, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Eagle County, Colorado. Each party consents to the personal jurisdiction of such courts.

Before initiating any legal proceeding, each party agrees to attempt to resolve disputes in good faith through direct communication for a period of at least thirty (30) days.

15. Modifications

TurbineHub reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page and, for active Subscribers, by email notification at least fifteen (15) days prior to changes taking effect.

Continued use of the Platform after modifications take effect constitutes acceptance of the revised Terms. If you do not agree with modified Terms, you must discontinue use of the Platform.
